1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you ("you," "Client") and Troubadour Technology LLC ("we," "us," "our"), concerning your access to and use of the Troubadour Technology LLC website as well as any related products and services provided. You agree that by accessing the Site or engaging our services, you have read, understood, and agree to be bound by all of these Terms and Conditions.

2. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us. Any software, automations, configurations, or technical data developed by us during the provision of services shall remain our intellectual property unless otherwise agreed, though the Client will have agreed rights to deliverables as set forth in the applicable agreement.

3. Service Provision and Payment

We agree to provide products and services as outlined in a separate Statement of Work (SOW), order confirmation, or service agreement. These services may include AI-powered software automation, custom web applications, consulting, integrations, or related technical work. Fees, payment terms, and delivery timelines will be specified therein. Payments are due according to the schedule outlined. Failure to make timely payments may result in suspension or termination of services.

4. Prohibited Activities

You may not access or use the Site or our services for any purpose other than that for which we make them available. You agree not to use our services to engage in any fraudulent, illegal, or unethical activities. You are responsible for ensuring all information, data, and specifications provided to us comply with all applicable laws and regulations.

5. Term and Termination

These Terms and Conditions shall remain in full force and effect while you use the Site or engage our services. Either party may terminate the service agreement with written notice as specified in the SOW. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION, DENY, SUSPEND, OR TERMINATE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS.

6. Governing Law

These Terms shall be governed by and defined following the laws of the State of Wyoming, USA. Troubadour Technology LLC and yourself irrevocably consent that the courts of the State of Wyoming shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
